This License authorizes the Licensee to promote, host, and operate a foreign exchange (FX) currency trading and speculation platform. Additionally, it permits the brokerage of shares, contracts for difference (CFDs), FX commodities, and any other type of regulated securities. The validity of this License shall expire on the date specified in the accompanying document or upon the Licensee ceasing to remain incorporated in the Autonomous Island of Anjouan, whichever occurs earlier, unless the License is revoked earlier by the Anjouan Offshore Finance Authority. This License is subject to any amendments or variations to “Government Notice No. 004 of 2005” or “Government Notice No. 5 of 2005.”
The Company’s objectives include offering various brokerage services to both corporate and private clients, primarily for the public and non-residents of the Autonomous Republic of Anjouan. The Company may carry out all or any of the following activities, either in conjunction or as separate undertakings:
- Providing direct consultation services to investors regarding investment strategies, securities pricing, buying and selling of securities, as well as related foreign exchange transactions and cryptocurrency trading.
- Offering consulting services related to securities issuance and money services.
- Arranging and executing the distribution of securities on a non-guaranteed basis.
- Receiving and transmitting clients’ orders in connection with securities, executing transactions in securities on behalf of clients, including the use of clients’ funds.
- Managing clients’ investment portfolios, including portfolios of securities and cryptocurrency assets.
- Holding clients’ investment funds and/or securities, and providing safekeeping, custody, and nominee services for such assets, including cryptocurrency.
- Engaging in proprietary trading, executing transactions in securities and cryptocurrencies for the Company’s own account.
- Arranging and executing the distribution of securities on a guaranteed basis.
- Loaning and borrowing securities from clients, using own funds for the acquisition of securities for clients, and engaging in short selling as defined by relevant regulations.
Company’s Purpose:
The License shall be automatically canceled, without notice, if any of the following events occur:
For the purposes of subparagraph (2)(a), the Company shall not be deemed to be conducting business in Anjouan solely due to the following activities:
- The Company engages in any activity prohibited by or contrary to the laws or regulations in force in Anjouan.
- As an International Company, the Company shall not, except as permitted by its approved Constitution:
- Conduct business in Anjouan (other than brokerage) or own immovable property in Anjouan, except for leasing premises to conduct its business.
- Engage in activities such as insurance, sea or air transport, gambling, banking, or any other business requiring a specific license.
- Operate with fewer than one member at any time.
- Invite the public to subscribe to shares or debentures in the Company.
For the purposes of subparagraph (2)(a), the Company shall not be deemed to be conducting business in Anjouan solely due to the following activities:
- Carrying on business with another company incorporated under the relevant Act or conducting activities outside Anjouan in furtherance of the Company’s business.
- Leasing premises for business operations as permitted by the Act.
- Making deposits with a licensed brokerage in Anjouan.
- Obtaining professional services from registered agents, legal counsel, accountants, and other service providers conducting business in Anjouan.
- Preparing or maintaining books and records within Anjouan.
- Holding meetings in Anjouan for directors or members.
- Holding shares, debt obligations, or other securities in a company incorporated under the relevant Act.
- Issuing shares, debt obligations, or other securities in a company incorporated under the relevant Act or the Companies Act.
Additional Services:
The individuals managing the Company’s business shall hold themselves personally, jointly, and severally liable for any actions, omissions, irregularities, or violations committed by the Company following the cancellation of the License.
